GENERAL TERMS OF DELIVERY

1 General terms and conditions

1.1 These terms and conditions apply to all offers, quotations and agreements of RI-TRAFFIC. Deviations from the General Terms must be expressly agreed in writing with an authorized representative.

1.2 The validity of any purchase or other conditions of a customer is hereby expressly rejected, unless otherwise agreed in writing.

1.3 The customer may not transfer rights and obligations from an agreement to third parties in any way without RI-TRAFFIC's written consent. RI-TRAFFIC shall not refuse such consent on unreasonable grounds.

2 Quotes and quotations

2.1 All quotations by RI-TRAFFIC are without obligation, regardless of whether a deadline for acceptance has been set.

2.2 RI-TRAFFIC cannot be held to its tenders or offers if the Customer can reasonably see that the tenders or offers or part thereof contain an obvious mistake or slip of the pen.

2.3 The brochures, descriptions, specifications, drawings and measurements provided by RI-TRAFFIC are purely indicative and no rights can be derived from them, unless expressly agreed otherwise.

2.4 The prices stated in a quotation or offer are exclusive of VAT and any additional costs within the framework of the Agreement, including travel and accommodation costs, postage and administration costs, unless otherwise stated.

2.5 RI-TRAFFIC is not bound by orders that deviate (even in insignificant points) from the quotation contained in the offer. The contract shall not be concluded in accordance with this deviating acceptance, unless RI-TRAFFIC declares otherwise.

2.6 A compound quotation does not oblige RI-TRAFFIC to perform part of the assignment at a corresponding part of the stated price.

2.7 RI-TRAFFIC is entitled to change the agreed price if changes in market prices and/or price increases by suppliers or other developments, such as changes in raw material prices, material, wage and transport costs, exchange rates, import duties and taxes or other levies give cause to do so.

2.8 Orders may be refused by RI-TRAFFIC at any time.

3 Execution and modification of the agreement

3.1 An agreement with a Customer is concluded at the moment an order is confirmed in writing by RI-TRAFFIC or when RI-TRAFFIC otherwise expressly indicates that an order has been accepted.

3.2 An agreed or specified time for performance of certain work or delivery of certain items is only indicative and not fatal.

3.3 If RI-TRAFFIC requires information from the client for the execution of the agreement, the execution period shall not commence until the client has made this information available to RI-TRAFFIC correctly and completely.

3.4 RI-TRAFFIC is entitled to execute the assignment in different phases and to invoice the executed part separately.

3.5 If the assignment is performed in phases, RI-TRAFFIC may suspend the execution of the parts belonging to a following phase until the Principal has approved the results of the preceding phase in writing.

3.6 Changes or additions to assignments must be expressly agreed upon in writing. If the Client requests changes and/or additions to an agreement and the parties do not reach agreement, the agreement shall remain in force in its original form.

3.7 If during the execution of the agreement it appears that for a proper execution thereof it is necessary to modify or supplement it, parties will timely and in mutual consultation proceed to adapt the agreement. If the nature, scope or content of the agreement is changed at the request or indication of the client, the competent authorities et cetera and the agreement is thereby changed in qualitative and/or quantitative respect, this may have consequences for what was originally agreed. As a result, the amount originally agreed upon may be increased or decreased. RI-TRAFFIC will give as much advance notice as possible. An amendment to the agreement may also change the originally agreed execution period. The client accepts the possibility of modification of the agreement, including modification of the price and execution period.

3.8 RI-TRAFFIC is entitled, even if a fixed price has been agreed upon, to change the agreed price on the basis of a legal or the
